Whereas, Esra'a Al Shafei has informed the Chair of the Board of her decision to resign from the Board of Trustees effective August 4, 2025, after almost eight years of service since her first appointment in November 2017;
Whereas, Esra'a Al Shafei’s term would otherwise end on October 1, 2026;
Whereas, Esra'a Al Shafei has served the board well as its liaison to the Human Rights team and will continue supporting this work as an advisor; and
Whereas, Article IV, Section 6 of the Bylaws allows the Board to appoint a trustee to complete the unexpired portion of a departing trustee’s term;
Now, therefore, it is
RESOLVED, that the Board appoints Mayree Clark to serve for the unexpired portion of Esra'a Al Shafei’s term; and
RESOLVED, that the Board extends that term to continue to January 1, 2027, or until the Board appoints a replacement for the seat, whichever comes first.
