BoT election 2025

In the light of volunteer community comments regarding the 2025 Election for members of the Board of Trustees, now nearly ten years old it's time this Resolution were revised and updated to reflect requirements for transparency and democratic process. In particular the responsibilities:

  • To the extent possible, the Committee shall consult with the wider Wikimedia community in developing and revising election procedures within the scope of this charter.
  • The Committee shall be a source of information to any member of the Wikimedia community interested in the community selection processes of the Wikimedia Foundation.

  1. Is there a process of community oversight in the Bylaws surrounding Board elections, including candidate eligibility criteria and candidate disqualification processes?
  2. What can we do to make Bylaws around Board election candidate eligibility criteria and candidate disqualifications more transparent and community driven?
  3. Regarding Section 3. Selection and Appointment, (C) Community and Affiliate-selected Trustees, (ii) - "(ii) The Board of Trustees shall convey its priorities and requirements for members, as set forth in Article IV, Section 3(A) above, and shall determine the dates, rules and regulation of the approval procedures. The Board shall determine who is qualified to participate in the approval process for Community- and Affiliate-selected Trustees."
  • Can we work on changing this part of the Bylaws such that it's more explicit than just "The Board shall determine.." - because that is far too much stretch room for them to remove without cause.
