Resolution: Approval of Strategy Process Budget

Whereas, with the encouragement of the Wikimedia Board of Trustees and communities, Wikimedia is embarking on a process to develop a long-term movement strategy;
Whereas, the Board of Trustees seeks to authorize a budget for this process in addition to the Wikimedia Foundation's 2016-2017 Annual Plan;
Resolved, the Board authorizes a budget of US$2,500,000 for the Wikimedia Foundation's strategy process, including up to US$2,000,000 budget within the 2016-2017 fiscal year;
Resolved, the Executive Director is individually authorized to obligate the funds of the Wikimedia Foundation up to and including the budget specified in this resolution, to execute agreements reflecting those obligations, and to further delegate this authority as deemed appropriate;
Resolved, the Executive Director is authorized and directed to execute other documents and take other actions as may be necessary or advisable to carry out the purposes of this resolution;
Resolved, the Executive Director may increase the revenue in the 2016-2017 Annual Plan as needed to meet the budget in this resolution;
Resolved, if the expenses will vary by more than 5% of the proposed budget, or will cause a material deviation in the organization's reserve, the Board directs management to consult with the Chair of the Audit Committee promptly.
