Resolution:Approving the 2019 affiliate-selected Board seat process

This resolution was approved on April 11, 2019. |
Whereas the Bylaws of the Wikimedia Foundation specify that two trustees are "selected from candidates approved through a process determined by Affiliates collectively"; and
Whereas the Bylaws further specify that the selection process "will be conducted according to a procedure approved by a majority of Affiliates collectively and approved by the Board"; and
Whereas the current terms for these affiliate-selected Board seats will expire in 2019; and
Whereas the Wikimedia affiliates, in collaboration with Election Facilitators, have drafted a procedure for the 2019 affiliate-selected Board seat process, incorporated by reference into this resolution; and
Whereas the Board has reviewed the draft procedure;
Now, therefore, it is:
RESOLVED that the draft procedure for the 2019 affiliate-selected Board seat process is approved by the Board.
