Resolutions Resolution:2022 Trustee Selection Feedback?
This resolution was approved on March 23, 2022.

Whereas, the Board of Trustees has room to grow by up to five Trustees, under the amended Bylaws adopted in 2020;

Whereas, there is a selection process for the Community- and Affiliate-Selected Trustees being planned for 2022;

Whereas, the Board had previously planned to select four trustees in the 2022 Community- and Affiliate-Selected Trustee selection process;

Whereas, the Wikimedia Foundation posted a call for feedback about the upcoming trustee selection process;

Whereas, the Board created a task force to provide Board oversight for the 2022 trustee selection process; and

Whereas, the Board currently has five Trustees who are in their first term, as well as a CEO who is in her first year;

Now, therefore, it is

RESOLVED, that in the upcoming process to select Community- and Affiliate-Selected Trustees, the Board will only seek to fill two seats (the ones currently occupied by Nataliia Tymkiv and Shani Evenstein Sigalov);

RESOLVED, that the Board will ensure that affiliates' preferences are structurally incorporated into the 2022 trustee selection process, though the exact manner of incorporation is yet to be determined; and

RESOLVED, that Board intends to appoint the Community- and Affiliate-Selected Trustees at its September 2022 meeting, and the Board Selection Task Force should plan the timeline for the selection process accordingly.
