Whereas, the Board of Trustees began a search for a new Chief Executive Officer of the Wikimedia Foundation in February 2021;
Whereas, the Board, as part of its existing Succession Planning work, created a Transition Committee of Trustees, whose membership includes the Audit and HR Committee chairs, for the purpose of searching for, selecting, and recommending candidates for the position of CEO;
Whereas, the Transition Committee conducted a comprehensive search and consulted with professional recruiters and key stakeholders from the Wikimedia communities and Wikimedia Foundation staff;
Whereas, based on these consultations, background and risk checks, and an evaluation of her skills and experience, the Transition Committee recommended Maryana Iskander for the position of CEO;
Whereas, the Board has independently assessed and agreed with the evaluation and the hiring recommendations of the Transition Committee;
Now, therefore, it is:
RESOLVED, that, subject to the execution of an employment agreement with the Foundation, the Board hereby selects Maryana Iskander to serve as Chief Executive Officer and Executive Director of the Foundation, and appoints her to have the power and authority of the Chief Executive Officer and Executive Director granted in the Bylaws and all resolutions of the Board, effective January 3, 2022.
