Resolution:Approving the Board Liaison Position

It may not be circumvented, eroded, or ignored by Wikimedia Foundation officers or staff nor local policies of any Wikimedia project. Whereas, the Board wishes to endorse the recommendation that a Board Liaison position be created at the Wikimedia Foundation to support the ongoing work of the Board and Executive Director, and at their discretion, to the Secretary of the Board;
Now, therefore, be it:
Resolved, that the Board of Trustees hereby endorse the creation of the position of the Board Liaison, reporting to the Executive Director, or at their discretion, to the Secretary of the Board;
Resolved, that the Executive Director shall determine the job duties, relationship with the Secretary of the Board, compensation, and other details related to the Board Liaison position in consultation with the Chair of the Board of Trustees; and
Resolved, that the Board of Directors authorizes and directs the Executive Director to take such actions as may be necessary to achieve the purpose of this resolution, including to adjust the relevant portion of the Wikimedia Foundation 2019-2020 Annual Plan to include this fiscal year's compensation and other costs associated with hiring the Board Liaison.
