Resolutions Board appointments May 2009 Feedback?
This resolution to fill two Board seats with candidates selected by the Wikimedia chapters was passed in May 2009 with 5 supports and 2 recusals.

Whereas, the Wikimedia Foundation Board of Trustees voted in April 2008 to increase the number of its Board members and to empower Wikimedia Chapters to select two of these Board members, and

Whereas the Wikimedia Chapters have discussed various approaches to identify candidates to fill the Chapter-selected Board seats, and

Whereas the discussions concerning the process of Chapter-selected Board seats are ongoing, but the Wikimedia Chapters have identified two candidates, Arne Klempert and Michael Snow, to fill these seats for the Chapter-selected Board terms set to end in July 2010, and

Whereas the Board of Trustees is empowered by Article IV, Section 6, of its bylaws to fill vacancies on the Board,

BE IT RESOLVED that Chapter-identified Board candidate Michael Snow, currently holding a Chapter-selected seat on the Board by appointment, shall be appointed to continue to fill that Chapter-selected seat on the Board, effective date June 1, 2009, with a term set to end in July 2010, and

BE IT FURTHER RESOLVED that the Board understands Domas Mituzas to be resigning from his Chapter-selected seat in order to be appointed to a Community-selected seat through this resolution, and that the Board declares the Chapter-selected seat held by Domas Mituzas to be vacant, effective date June 1, 2009, and

BE IT FURTHER RESOLVED that Chapter-identified Board candidate Arne Klempert is appointed by the Board of Trustees, effective date June 1, 2009, to fill the Chapter-selected seat vacated by Domas Mituzas, with a term set to end in July 2010, and

BE IT FURTHER RESOLVED that Domas Mituzas, having resigned from his Chapter-selected seat, is appointed by the Board of Trustees, effective date June 1, 2009, to fill the vacant Community-selected seat on the Board in the interim until a candidate is selected to fill that seat in August 2009.
