|←Resolutions||Resolution: Creating a Board Selection Task Force||Feedback?→|
|This resolution was approved on December 8, 2021.|
Whereas, the responsibilities of the Governance Committee include “facilitating the selection process for community- and affiliate-selected trustees”;
Whereas, the Governance Committee’s responsibilities regarding the selection of community- and affiliate-selected trustees overlap with the responsibilities of the Elections Committee and the Community Affairs Committee;
Whereas, members of both the Governance Committee and Community Affairs Committee may potentially be candidates in the 2022 community- and affiliate-selected trustee selection process; and
Whereas, the Board of Trustees wishes to maintain the integrity of the trustee selection process by avoiding concerns about the involvement of candidates in the process design and oversight;
Now, therefore, it is:
RESOLVED, that the Board creates a task force for the 2022 community- and affiliate-selected trustee selection process, composed of Dariusz Jemielniak, Lorenzo Losa, Esra'a Al Shafei, and Victoria Doronina;
RESOLVED, that the task force shall be responsible for providing Board oversight for the 2022 trustee selection process, and for keeping the Governance, Community Affairs, and Elections Committees informed and aligned; and
RESOLVED, that the task force shall disband once the selected candidates are appointed to the Board.
